These Terms and Conditions govern your access to and use of jsdapps.net, including any applications, software, subscription services, digital products, custom development services, support services, and related features offered through the website.

The website and Services are operated by JSD Power Tech Software Development, doing business as JSD Apps and/or JSD Power Tech, referred to in these Terms as “JSD Apps,” “we,” “us,” or “our.”

By visiting the website, registering an Account, starting a free trial, purchasing a subscription, requesting Custom Services, or otherwise using the Services, you agree to these Terms. Do not use the website or Services if you do not agree.

1. Definitions

For these Terms:

  • Account means the account created by a customer or authorized user to access the Services.
  • Application means any application, software solution, workflow, dashboard, portal, template, connector, report, automation, or other digital product provided by JSD Apps.
  • Authorized User means a person permitted by a customer to access an Account or Application.
  • Customer means the individual, company, organization, or other legal entity purchasing or using the Services.
  • Customer Data means information, documents, records, files, images, account details, or other content submitted to or processed through the Services.
  • Custom Services means consulting, configuration, implementation, integration, migration, training, custom development, and other professional services.
  • Order means a subscription purchase, quotation, proposal, statement of work, order form, checkout transaction, or other agreement under which Services are provided.
  • Services means the website, Applications, subscriptions, Custom Services, support services, and other products or services supplied by JSD Apps.

2. Eligibility and Authority

You must be at least eighteen years old and legally capable of entering into a binding agreement to use the Services.

When using the Services for a company or organization, you represent that you have authority to accept these Terms on its behalf.

3. Accounts

Some Services require an Account. You agree to provide accurate, complete, and current registration and billing information.

You are responsible for maintaining the confidentiality of login credentials, restricting unauthorized access, managing Authorized Users, and notifying us promptly of suspected unauthorized access or security incidents.

4. Description of Services

JSD Apps may provide subscription-based business applications, Microsoft Power Platform solutions, configuration, implementation, custom software development, data migration, technical support, consulting, templates, documentation, training, and other services identified on our website or in an Order.

Specific features, limits, integrations, and support levels may differ between plans.

5. Orders and Service Agreements

An Order becomes binding when you complete an online purchase, accept a quotation or proposal, sign or electronically accept an order form, submit payment, authorize us to begin work, or when we otherwise confirm acceptance.

If an Order conflicts with these Terms, the Order controls only for the specific Services covered by that Order.

6. Subscription Plans

We may offer monthly, annual, usage-based, per-user, per-site, custom, or other subscription plans. The applicable price, billing period, included features, and usage limitations will be shown during checkout or in the relevant Order.

You must not exceed plan limits. We may request that you reduce usage, purchase additional capacity, or upgrade your plan.

7. Free Trials and Promotional Access

We may offer free trials, pilot access, demonstrations, discounts, or promotional plans. Unless otherwise stated, trial features may be limited, trial data may be deleted after expiration, and continued access may require a paid subscription.

Where a trial automatically converts to a paid subscription, the applicable price and conversion date will be disclosed before confirmation.

8. Pricing

Prices are displayed in the currency specified during checkout or in the relevant Order. Prices may exclude taxes, duties, bank charges, foreign exchange fees, payment-processing fees, and other government or third-party charges unless expressly stated otherwise.

We may change prices. Changes for existing subscriptions normally take effect at the next renewal after reasonable notice.

9. Payment

You agree to pay all fees associated with your Order. Payments may be processed through PayMongo, a bank, card network, electronic wallet, online-banking provider, or another payment service provider.

You authorize JSD Apps and its payment providers to charge the payment method associated with your Order for applicable fees, taxes, renewals, plan changes, additional usage, and other authorized amounts.

10. Recurring Billing and Automatic Renewal

Unless your Order states otherwise, subscriptions automatically renew for successive periods equal to the original subscription period.

By purchasing a recurring subscription, you authorize us and our payment provider to charge the applicable subscription fee automatically at each renewal until cancellation.

If a recurring charge fails, we may retry the payment, request another payment method, restrict access, suspend the subscription, reduce the account to a limited plan, or terminate the subscription.

11. Taxes

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes, duties, levies, assessments, withholding obligations, and government charges associated with your purchase, excluding taxes based solely on our net income.

12. Cancellation

You may cancel a subscription through available account settings or by contacting us at sales@jsdapps.net.

  • Cancellation stops the subscription from renewing.
  • Cancellation does not normally reverse charges already processed.
  • Access normally continues until the end of the paid billing period.
  • No partial-period credit is normally provided for unused time.

Deleting an Application, uninstalling it, discontinuing use, or removing a payment method does not by itself cancel a subscription.

13. Refunds

Except where required by law or expressly stated in an Order, subscription payments are non-refundable once the applicable billing period has begun.

Refunds may be considered for duplicate charges, incorrect charges, payments taken after a properly completed cancellation, inability to provide the purchased Service, or where required by law.

Refund requests must be sent to [BILLING EMAIL ADDRESS] with relevant transaction details.

14. Chargebacks and Payment Disputes

Before initiating a chargeback or payment dispute, you agree to contact us and allow a reasonable opportunity to investigate. Fraudulent, abusive, or unjustified chargebacks may result in suspension or termination.

15. Customer Responsibilities

You are responsible for determining whether the Services meet your needs, properly configuring and operating your Account, providing accurate requirements and data, reviewing outputs, training users, maintaining appropriate controls and backups, complying with applicable laws, and maintaining required third-party licenses.

16. Acceptable Use

You must not use the Services to violate law, infringe rights, upload malicious code, attempt unauthorized access, bypass security or licensing controls, interfere with availability, send spam or phishing messages, distribute illegal content, reverse-engineer protected components except where legally permitted, or create a competing product through systematic copying.

17. Authorized Users and Administration

Customers control which Authorized Users may access their Accounts, subject to plan limits. The customer is responsible for actions taken by its administrators and Authorized Users.

18. Customer Data

As between the customer and JSD Apps, the customer retains ownership of Customer Data.

You grant us a limited, non-exclusive right to host, copy, transmit, process, display, modify, back up, and otherwise use Customer Data as reasonably necessary to provide, maintain, secure, and support the Services, comply with legal obligations, and enforce these Terms.

19. Personal Data and Privacy

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

Where we process personal data on behalf of a business customer, that customer is responsible for providing required notices, establishing a lawful basis, handling data-subject requests, configuring access, and defining retention requirements.

20. Confidentiality

Each party must protect the other party’s non-public business, technical, security, pricing, project, source-code, credential, and Customer Data information using reasonable safeguards and use it only for the intended business purpose.

21. Security

We use reasonable administrative, organizational, and technical measures intended to protect the Services and information under our control. No internet-based service or cloud platform is completely secure.

Customers are responsible for strong passwords, multi-factor authentication where available, secure devices and networks, appropriate permissions, protection of exported data, and prompt reporting of suspected incidents.

22. Data Backups, Export, and Retention

The availability of backups, exports, restoration, and retention depends on the applicable Service and plan. Unless expressly included in an Order, the Services are not a substitute for the customer’s own backup, archival, disaster-recovery, or records-management obligations.

23. Third-Party Platforms and Services

The Services may depend on or integrate with Microsoft Power Apps, Power Automate, SharePoint, Dataverse, Power BI, Azure, Microsoft 365, PayMongo, email, hosting, identity, storage, analytics, and other third-party services.

Third-party services are governed by their own terms, privacy policies, licensing rules, service levels, restrictions, and fees.

24. Microsoft Power Platform Requirements

Some Applications require active Microsoft licenses, environments, connectors, gateways, accounts, permissions, or administrator approval. The customer is responsible for verifying that its Microsoft subscription permits the intended use.

Changes by Microsoft may require additional licensing, reconfiguration, migration, or separately charged development work.

25. Application Changes and Updates

We may improve, modify, replace, limit, or discontinue features to improve performance, address security risks, comply with law, respond to third-party platform changes, prevent misuse, or maintain compatibility.

26. Custom Development Services

Custom Services are governed by the applicable quotation, proposal, statement of work, or Order. The customer must provide timely requirements, sample data, system access, technical contacts, decisions, approvals, testing feedback, and third-party licenses.

Unless otherwise stated, delivery dates are estimates rather than guarantees.

27. Scope Changes

A request is outside the agreed scope when it materially changes requirements, workflows, integrations, data structures, users, reports, security rules, design, volume, or deliverables. Out-of-scope work may require a change request, revised quotation, additional fees, or revised delivery dates.

28. Customer Testing and Acceptance

The customer is responsible for testing custom deliverables before production use. Unless an Order states otherwise, a deliverable is considered accepted when the customer confirms acceptance, uses it in production, distributes it to end users, fails to report a material non-conformity within ten business days, or makes final payment.

29. Support and Maintenance

Support coverage depends on the purchased plan or Order. Unless expressly included, support does not include new features, major design changes, new workflows, data cleansing, third-party administration, Microsoft licensing support, user training, or changes required by third-party updates.

30. Service Availability

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation unless a separate service-level agreement applies. Services may be unavailable because of maintenance, updates, third-party outages, internet failures, security incidents, customer configuration, or events beyond our reasonable control.

31. Intellectual Property

Except for Customer Data and expressly assigned custom deliverables, JSD Apps and its licensors retain all rights in the website, pre-existing software, source code, frameworks, reusable components, templates, connectors, libraries, designs, documentation, workflows, methods, know-how, improvements, and branding.

32. Custom Deliverables and Reusable Components

An Order may specify whether a custom deliverable is licensed, assigned after full payment, hosted by JSD Apps, or built within the customer’s environment.

Unless expressly assigned in writing, JSD Apps retains ownership of reusable and pre-existing materials, including frameworks, methods, templates, connectors, libraries, utilities, generic workflows, and technical knowledge.

33. Feedback

You grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate suggestions or feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

34. Publicity

We will not use your name, logo, trademark, or project details in public marketing materials without permission, except where the information is already public, required by law, or expressly permitted by an Order.

35. Suspension

We may suspend access when reasonably necessary because of non-payment, a failed or disputed payment, security threats, suspected fraud, illegal activity, material breach, abusive usage, legal requirements, third-party platform restrictions, or emergencies.

36. Termination

We may terminate or decline to renew a Service where you materially breach these Terms, fees remain unpaid, use creates legal or security risk, a required third-party service becomes unavailable, continuing the Service would violate law, or the applicable product is discontinued.

37. Warranties

We will perform paid Custom Services using reasonable skill and care. Except for warranties expressly stated in these Terms or an Order, the Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law.

38. Customer Decisions and Automated Outputs

Applications may generate calculations, classifications, notifications, reports, workflow decisions, recommendations, or other automated outputs. The customer must independently review important outputs before relying on them.

Unless expressly agreed in writing, the Services do not constitute legal, accounting, tax, medical, engineering, safety, or financial advice.

39. Artificial Intelligence Features

AI-generated output may be incomplete, inaccurate, inconsistent, or unsuitable for a particular purpose. You must not rely exclusively on AI output for safety-critical, medical, employment, legal, financial, regulatory, identity-verification, hazardous-material, or other high-risk decisions.

40. Disclaimer of Third-Party Responsibility

To the maximum extent permitted by law, we are not responsible for losses resulting from customer actions, incorrect Customer Data, unauthorized access caused by customer credential handling, third-party software, payment-provider decisions, Microsoft licensing restrictions, customer hardware or networks, unauthorized modifications, or use outside the intended scope.

41. Limitation of Liability

To the maximum extent permitted by law, JSD Apps will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business opportunities, goodwill, anticipated savings, or data.

Our total aggregate liability arising from a particular Service will not exceed the fees paid for that Service during the twelve months immediately preceding the event giving rise to the claim. For a free Service, total liability will not exceed PHP 1,000.

42. Indemnification

You agree to defend, indemnify, and hold harmless JSD Apps, its owner, personnel, contractors, and service providers from third-party claims arising from unlawful use, Customer Data, violation of these Terms, infringement of rights, missing permissions or consents, unauthorized instructions, or actions of Authorized Users.

43. Consumer Rights

Nothing in these Terms is intended to exclude or restrict rights that cannot legally be waived under applicable consumer-protection law.

44. Force Majeure

Neither party will be liable for delay or failure caused by circumstances beyond reasonable control, including natural disasters, typhoons, floods, war, civil unrest, government action, public-health emergencies, power interruption, cyberattacks, labor disputes, cloud-platform outages, telecommunications failures, or changes in law.

46. Changes to These Terms

We may update these Terms to reflect changes to the Services, pricing, payment arrangements, law, security requirements, third-party platforms, or business operations. Updated Terms will be posted with a revised “Last Updated” date.

47. Governing Law

These Terms and disputes arising from them are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

48. Dispute Resolution

Before beginning formal proceedings, the parties will attempt in good faith to resolve the dispute through written notice and direct discussion for at least thirty days, unless urgent relief is reasonably required.

Unresolved disputes will be submitted to the courts with proper jurisdiction in [CITY/PROVINCE, PHILIPPINES], unless the parties agree in writing to mediation or arbitration.

49. Assignment

You may not assign or transfer these Terms, your Account, or an Order without our written consent. We may assign these Terms as part of a merger, restructuring, sale of business, transfer of assets, or change of service provider.

50. Independent Contractors

The parties are independent contractors. These Terms do not create an employment, agency, partnership, fiduciary, franchise, or joint-venture relationship.

51. No Third-Party Beneficiaries

Except where expressly stated, these Terms do not create enforceable rights for any person or entity other than the parties.

52. Waiver

Failure to enforce a provision does not waive the right to enforce it later. A waiver is effective only when made in writing by an authorized representative.

53. Severability

If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in effect.

54. Interpretation

Headings are for convenience only. “Including” means “including without limitation.” Written communication includes electronic communication where legally permitted.

55. Entire Agreement

These Terms, the Privacy Policy, the applicable Order, and any expressly incorporated documents form the entire agreement concerning the relevant Services and replace prior discussions or representations concerning the same subject matter.
